Exclusive Buyer Agency Agreement — W&R Matchmaker Program

1. Exclusive Representation

By accepting this agreement, you ("Buyer") authorize Wiens & Roth Real Estate ("Broker"), a licensed brokerage in the States of Michigan and Ohio, to act as your exclusive buyer's agent for your real property search. Broker and its designated agent(s) will represent your interests, maintain your confidentiality, and negotiate on your behalf.

2. Scope of Agreement

This agreement grants Broker the exclusive right to locate and present real property to Buyer and to assist Buyer in negotiations for the purchase of real property in Monroe County and the greater Southeast Michigan / Northwest Ohio region. During the term of this agreement, any and all inquiries and negotiations on behalf of Buyer relating to the acquisition of real property shall be conducted through Broker. Buyer acknowledges that Matchmaker provides privileged access to off-market properties not available through public channels, and that this exclusive commitment is a condition of participation in the program.

3. Term

This agreement is effective from the date of acceptance and remains in effect for 180 days, or until you close on a property, whichever comes first.

4. Compensation

Buyer acknowledges that Broker's services are not free and that compensation is fully negotiable. Broker's compensation for buyer representation shall be 3% of the purchase price. Broker will seek this compensation from the seller or the seller's listing broker as part of the transaction. In the Matchmaker program, sellers have agreed to provide buyer agent compensation. If for any reason the seller does not offer sufficient compensation, any remaining amount will be negotiated as part of the purchase agreement before you are obligated. You will not owe compensation exceeding the amount disclosed here.

5. Duties of Broker

As your exclusive agent, Wiens & Roth will: exercise reasonable care and skill in representing you; maintain loyalty to your interests; keep all confidential information disclosed by you strictly confidential; disclose known material facts about properties presented; assist in developing, negotiating, and presenting offers; and refer you to other licensed professionals (attorneys, inspectors, appraisers) for matters outside our expertise.

6. Agency Disclosure

A buyer's agent acts solely on behalf of the buyer. Buyer's agents will disclose to the buyer known information about the seller which may be used to benefit the buyer. In the event the same agent or brokerage represents both buyer and seller, a dual agency situation exists and will only proceed with the written consent of both parties. In a dual agency, the agent maintains a neutral position and will not disclose confidential information of either party to the other.

7. Buyer Acknowledgments

Buyer acknowledges that: (a) Broker is not an attorney, tax advisor, surveyor, appraiser, or home inspector and Buyer should consult appropriate professionals on such matters; (b) Broker relies on information provided by sellers and their agents and cannot guarantee the accuracy of such information; (c) Buyer is encouraged to obtain a professional home inspection before purchasing any property; and (d) Buyer should verify all material facts independently.

8. Electronic Acceptance

By clicking "I Accept" below, you agree to conduct this transaction electronically pursuant to the Michigan Uniform Electronic Transactions Act (MCL 450.831 et seq.) and/or the Ohio Uniform Electronic Transactions Act (ORC Chapter 1306). Your electronic acceptance constitutes your signature and has the same legal effect as a handwritten signature. A record of your acceptance, including your name, email address, and timestamp, will be maintained by Broker.

Matchmaker Seller Terms

By registering with Matchmaker, you understand that if a qualified buyer is matched to your property, Wiens & Roth Real Estate will represent you as your listing agent for that transaction. There is no cost or obligation to register. A standard listing agreement will be executed only when you decide to move forward with a matched buyer. Commission applies only if your property sells and will be discussed in detail at that time.

Exclusivity period: For 90 days from the date of registration, you agree not to list your property on the MLS, with another brokerage, or through any other sales channel (including for-sale-by-owner). This gives Wiens & Roth a dedicated window to find you a qualified, off-market buyer. After 90 days, if no match has been made, you are free to pursue other options with no further obligation.

Full listing option: At any time during or after the exclusivity period, you may choose to convert to a full listing with Wiens & Roth — including MLS placement, professional marketing, and the complete selling experience. Just let your agent know and we'll handle the transition seamlessly.

There are no upfront fees to register as a buyer or seller. Wiens & Roth earns a standard real estate commission only if and when a transaction closes. Buyer agent compensation is sought from the seller side — the details are disclosed in the agreement you review before submitting.

It's a standard written agreement — now required nationwide after the 2024 NAR settlement — that establishes Wiens & Roth as your exclusive buyer's agent. In exchange for privileged access to off-market properties, you commit to working exclusively with us for your property search. Our compensation comes from the seller side. You can review and accept it digitally right here on the site in about two minutes.

Matchmaker gives you access to properties that aren't available online — homeowners who have shared their terms in confidence. That's a privilege that requires a real commitment. In return for exclusive access to our off-market network, we ask that you work with Wiens & Roth for your property search during the agreement term.

Those platforms show homes already listed online — the same listings everyone else sees. Matchmaker connects you with homeowners who are open to selling but haven't listed online. Less competition, more direct, and you're working with a local agent who knows the community personally.

You're giving Wiens & Roth a 90-day exclusive window to match your property with a qualified buyer before you list it publicly. During that period, you agree not to list on the MLS or with another brokerage. You're never obligated to accept any offer — and if no match is made within 90 days, you're free to pursue other options. At any point, you can also choose to convert to a full listing with Wiens & Roth including MLS marketing.
